Use of service
You may use crematic for lawful business purposes in line with your subscription plan and seat limits.
You are responsible for all activity performed under your account, including by invited team members. You agree not to misuse the platform, disrupt operations, or attempt unauthorized access to other customer environments.
Eligibility and account security
You represent that you have authority to bind your organization to these terms. You are responsible for safeguarding credentials, managing seat access, and promptly notifying us of unauthorized use.
Customer content
You retain ownership of files and data you provide. You grant us a limited right to process that content to deliver product features.
You confirm you have rights to upload and process documents you submit. We may store derived analysis artifacts, assumptions, and version snapshots necessary to provide audit trails, collaboration, and memo history.
Billing
Paid plans renew on the billing cycle shown at checkout unless canceled. Fees are non-refundable unless required by law.
Plan limits, seat entitlements, and usage overages are described on your pricing tier. If payment fails or your subscription lapses, access to paid features may be limited until billing is restored.
Unless otherwise stated in an order form, fees are exclusive of taxes, duties, and levies. You are responsible for applicable taxes other than taxes based on our net income.
Service availability
We strive to maintain reliable service availability, but uptime can be affected by scheduled maintenance, third-party outages, or force majeure events. We may modify features over time while preserving core contractual functionality.
Termination
Either party may terminate under applicable subscription terms. After termination, access to the workspace may be suspended and data retention will follow the privacy policy and contractual obligations.
We may suspend access immediately for material security risk, legal noncompliance, non-payment, or substantial breach. Where feasible, we provide notice and a path to cure before suspension.
Limitations and governing terms
Except where prohibited by law, the service is provided on an as-available basis, and liability is limited to the fees paid for the relevant subscription period. No statement in this section reduces rights that cannot be limited under applicable consumer or commercial law.
These terms are interpreted under the governing law specified in your commercial agreement or order form. If no custom terms apply, these terms are governed by Delaware law, excluding conflict-of-law rules, and the state or federal courts in Wilmington, Delaware have exclusive jurisdiction, unless mandatory law requires otherwise.
Before formal dispute escalation, both parties agree to attempt good-faith resolution through designated legal contacts for at least 30 days.
Indemnification
You agree to defend and indemnify crematic from third-party claims arising from your unlawful use of the service, violation of these terms, or infringement caused by materials you upload, except to the extent caused by our breach or misconduct.
Export controls and sanctions
You may not use the service in violation of applicable export control, sanctions, or trade compliance laws. You represent that you are not subject to restrictions that prohibit use of the service.
Changes to these terms
We may update these terms from time to time. We will post the updated date on this page and provide additional notice for material changes (for example by in-app notice or email). Material changes generally become effective at least 30 days after notice unless a shorter period is required by law, security, or operational safety. Continued use after the effective date constitutes acceptance.
Acceptable use and data integrity
You agree to provide accurate deal data and maintain appropriate internal controls over assumptions, source files, and approval workflows. The platform can accelerate underwriting and memo drafting, but your firm remains responsible for final investment decisions, committee approvals, and regulatory obligations tied to submitted materials.
You must not upload malicious files, attempt to bypass account limits, reverse engineer protected parts of the service, or use the platform for unauthorized surveillance or unlawful discrimination. If misuse is detected, we may suspend access to protect system integrity and customer data while investigating. We will provide commercially reasonable notice and remediation guidance when suspension can be safely reversed.
